SENWESBEL LIMITED LISTS ON THE ZARX EXCHANGE AS REQUIRED BY LAW


The provisions of the Financial Markets Act obliged the Companies to migrate the share trading to the licensed exchange environment. In this environment all shares has to be uncertificated (i.e. dematerialised) as transactions occur live on an electronic basis.

The role players involved with this process are:

  • The shareholder of the proposed investor;
  • The Companies;
  • The exchange, ZAR X;
  • Computershare (the overall custodian of the share registers);
  • STRATE (which settle the transactions);
  • Senwes as Main Broker and Transfer Secretary (who will attend to all instructions for trading as well as the administration of transfers between shareholders towards Computershare and ZAR X). Senwes will also attend to the authority to trade and where appropriate (Senwesbel) attend to the qualifying criteria for persons that need to qualify to purchase shares.

The Senwes shares are freely tradeable. If Senwes or Senwesbel shares have been provided as security for facilities at Senwes, the prior consent of Senwes is required before shares may be traded. Senwesbel shares is not freely tradeable and shall trade on the ZAR X restricted platform. This entails that only persons that conduct farming as main business activity may acquire and hold Senwesbel shares.

Should you wish to trade in shares you will be required to complete a Computershare mandate and to provide the prescribed FICA documentation. Thereafter a SDA account will be opened with Computershare in which account your shares will be credited or the money that will be utilised to purchase shares. These requirements are absolute and non-negotiable since trading is fully automated and occurs “on a live matching” basis.

This means that the trading is risk free and no further paperwork will be required. Both the seller and purchaser of shares will pay a brokerage fee of 0.75% based on the rand value of the transaction with a minimum of R150,00 plus VAT.

The payment of dividends will also occur electronically and dividend payments between different banks will be reflected immediately on the payment date in shareholders accounts.

Weens die toepassing van die vereistes van die Wet op Finansiële Markte was die Maatskappye genoop om die aandeleverhandeling na die gelisensieerde beursomgewing te skuif. In hierdie omgewing is alle aandele sertifikaatloos (d.w.s. gedematerialiseer) omdat die transaksies op ʼn intydse elektroniese basis geskied.

Die rolspelers in hierdie proses is die volgende:

  • Die aandeelhouer of voorgenome aandeelhouer;
  • Die Maatskappye;
  • Die beurs, ZAR X;
  • Computershare (wat die oorhoofse opsigter sal wees oor die aandeleregisters);
  • STRATE (wat die transaksies afreken);
  • Senwes as Hoofmakelaar en Oordragsekretaris (wat alle instruksies vir verhandeling en administrasie en oordragte vir aandeelhouers sal hanteer na Computershare en ZAR X). Senwes sal ook toesien dat aandele mag verhandel en dat waar nodig (soos by Senwesbel) persone kwalifiseer om aandele te koop.
    • Senwesaandele is vrylik verhandelbaar. Indien Senwes of Senwesbel aandele gesedeer en verpand is ten gunste van Senwes sal vooraf toestemming van Senwes verkry moet word om aandele te verkoop. Senwesbel aandele is beperk verhandelbaar en sal dus op die ZAR X se beperkte platform verhandel. Laasgemelde beteken dat slegs persone wat boerdery beoefen (as hoofbesigheid) aandele in Senwesbel mag verkry en hou.

      Persone wat graag met aandele wil handel, sal versoek word om ʼn Computershare mandaat te onderteken en sal ook alle nodige FICA dokumentasie moet voorsien. Daarna sal ʼn SDA rekening by Computershare geopen word in welke rekening of u aandele sal wees of die bedrag wat gebruik moet word om aandele te koop. Omdat verhandeling ten volle geoutomatiseer en dadelik intyds plaasvind, is hierdie absolute ononderhandelbare voorvereistes.

      Dit beteken die verhandeling is risikovry en geen verdere papierwerk is nodig nie. Beide ʼn koper of verkoper van aandele sal ʼn makelaarsfooi van 0.75% betaal op die randwaarde van die transaksie met ʼn minimum van R150,00 tesame met BTW.

      Aspekte soos betalings van dividende sal ook net elektronies plaasvind en sal dividendbetalings tussen verskillende banke onmiddellik op die betaaldatum op aandelehouers se bankrekenings reflekteer.
